Agreement to Terms

Welcome to Vinlow. These Terms of Service ("Terms") govern your access to and use of the Vinlow platform, website, and services (collectively, the "Service") operated by Vinlow ("we," "us," or "our"), a Virginia-based company.

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Service. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms.


1. Description of Service

1.1 Platform Purpose

Vinlow is a B2B marketplace platform that connects automotive dealerships with independent automotive service shops. Our Service facilitates:

  • Posting of service requests by dealerships
  • Submission of quotes by service shops
  • Communication between dealerships and shops
  • Coordination of automotive service work

1.2 Beta Status

Vinlow is currently in beta testing. During this phase:

  • The Service is provided free of charge
  • Features and functionality may change
  • Service may be interrupted or unavailable
  • Data and features may be reset or modified
  • We are actively collecting feedback and usage data

By participating in our beta, you agree to provide feedback and understand that the Service is not yet in its final form.

1.3 Role as Marketplace

Important: Vinlow is a marketplace platform only. We:

  • ✅ Provide the platform that connects dealerships and shops
  • ✅ Facilitate communication and coordination
  • ✅ Track requests and responses

We do NOT:

  • ❌ Provide automotive services directly
  • ❌ Employ or control shops or dealerships
  • ❌ Guarantee the quality of work performed
  • ❌ Process payments during beta (all payments are between users)
  • ❌ Act as an agent for either party

2. User Accounts and Eligibility

2.1 Account Registration

To use our Service, you must:

  • Create an account with accurate and complete information
  • Be at least 18 years of age
  • Represent a legitimate automotive business (dealership or shop)
  • Have authority to bind your business to these Terms
  • Maintain the security of your account credentials

2.2 Account Types

Dealership Accounts:

  • Create and post service requests
  • Review quotes from shops
  • Select shops to perform work
  • Communicate with selected shops
  • Track service completion

Shop Accounts:

  • View service requests in your area
  • Submit quotes and pricing
  • Accept assigned work
  • Communicate with dealerships
  • Mark work as completed

2.3 Account Security

You are responsible for:

  • Maintaining the confidentiality of your password
  • All activities that occur under your account
  • Notifying us immediately of unauthorized access
  • Ensuring your account information is current and accurate

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.


3. User Obligations and Conduct

3.1 Dealership Obligations

As a dealership user, you agree to:

  • Provide accurate vehicle and service information
  • Submit legitimate service requests only
  • Respond to shop quotes in a timely manner
  • Coordinate pickup and payment with selected shops
  • Not misrepresent your business or needs
  • Honor commitments made to shops

3.2 Shop Obligations

As a shop user, you agree to:

  • Provide accurate business information and capabilities
  • Submit honest, competitive quotes
  • Respond to requests promptly (within 30 minutes during business hours)
  • Perform work to professional standards
  • Communicate clearly with dealerships
  • Complete accepted work as quoted (or communicate changes)
  • Not solicit dealerships for off-platform business during beta

3.3 Prohibited Activities

All users are prohibited from:

Fraudulent Activity:

  • Providing false information
  • Impersonating another business
  • Creating fake accounts or responses
  • Submitting fraudulent requests or quotes

Abuse and Harassment:

  • Harassing, threatening, or abusing other users
  • Using offensive or inappropriate language
  • Discrimination based on any protected characteristic

Platform Misuse:

  • Attempting to circumvent platform features
  • Reverse engineering or copying our Service
  • Using automated systems (bots, scrapers) without permission
  • Interfering with platform operations or security
  • Uploading malware, viruses, or harmful code

Illegal Activity:

  • Using the Service for unlawful purposes
  • Violating any applicable laws or regulations
  • Infringing on intellectual property rights

Violation of these prohibitions may result in immediate account termination and legal action.


4. Service Requests and Transactions

4.1 Posting Requests

Dealerships may post service requests containing:

  • Vehicle information (year, make, model, VIN)
  • Service type and description
  • Urgency level
  • Special requirements

By posting a request, you:

  • Confirm the information is accurate
  • Grant shops permission to view and respond
  • Understand responses are not binding until you accept

4.2 Submitting Quotes

Shops may respond to requests with:

  • Pricing quotes
  • Estimated time to completion
  • Availability information
  • Additional notes or requirements

By submitting a quote, you:

  • Confirm your ability to perform the work
  • Stand by your quoted price and timeframe
  • Agree to honor the quote if selected
  • Understand the quote may be rejected

4.3 Accepting and Performing Work

When a dealership accepts a shop's quote:

  • Both parties enter into a direct service agreement
  • Vinlow is not a party to this agreement
  • All work, payment, and disputes are between the parties
  • Parties must coordinate directly for service details

4.4 Payment Terms

During beta, Vinlow does not process payments. All payment arrangements are made directly between dealerships and shops, including:

  • Payment methods (check, credit card, ACH, etc.)
  • Payment timing (upfront, upon completion, net terms, etc.)
  • Any deposits or retainers required

Vinlow is not responsible for payment disputes.

4.5 Completion and Disputes

Shops should mark work as "finished" when complete. Dealerships should confirm completion and close out the transaction.

If disputes arise:

  • Parties should attempt to resolve directly
  • Contact us at founder@vinlow.com if mediation is needed
  • We may suspend accounts pending investigation
  • Final resolution is between the parties

5. Intellectual Property Rights

5.1 Our Property

The Service and its content, features, and functionality are owned by Vinlow and are protected by copyright, trademark, and other intellectual property laws. This includes:

  • Platform design and code
  • Vinlow name, logo, and branding
  • Documentation and materials
  • Data aggregations and analytics

You may not copy, modify, distribute, or create derivative works without our written permission.

5.2 Your Content

You retain ownership of content you submit to the Service (requests, quotes, messages, photos). By submitting content, you grant us:

  • A worldwide, non-exclusive license to use, display, and store your content
  • The right to use aggregated, anonymized data for analytics and improvements
  • Permission to showcase your business name (with consent) in marketing materials

You represent that you have all necessary rights to the content you submit.

5.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, we may use them without obligation to compensate you.


6. Disclaimers and Limitations of Liability

6.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability or fitness for a particular purpose
  • Non-infringement of third-party rights
  • Accuracy, reliability, or completeness of information
  • Uninterrupted or error-free operation
  • Security against unauthorized access

6.2 No Guarantee of Results

WE DO NOT GUARANTEE:

  • That shops will respond to your requests
  • The quality of work performed by shops
  • The accuracy of quotes or timeframes
  • Successful completion of service work
  • Resolution of disputes between parties
  • Availability of the Service at all times

6.3 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

Vinlow, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits or revenue
  • Loss of business opportunities
  • Vehicle damage during service
  • Delays or incomplete work
  • Data loss or corruption
  • Cost of substitute services
  • Any other commercial damages or losses

Our total liability to you for any claims arising from the Service shall not exceed $100 or the amount you paid us in the past 12 months (currently $0 during free beta), whichever is greater.

6.4 Third-Party Responsibility

You acknowledge that:

  • Vinlow is not responsible for the actions of users
  • Service work is performed by independent shops
  • Quality and safety are the shop's responsibility
  • Payment and disputes are between parties
  • You use the Service at your own risk

7. Indemnification

You agree to indemnify, defend, and hold harmless Vinlow and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any laws or regulations
  • Service work performed through the platform
  • Disputes with other users
  • Content you submit to the Service
  • Your breach of any representations or warranties

This indemnification obligation survives termination of your account.


8. Beta Testing Terms

8.1 Beta Participation

As a beta tester, you acknowledge:

  • The Service is experimental and incomplete
  • Features may change or be removed
  • Your data may be reset or lost
  • Service may be unavailable without notice
  • You will not receive compensation for participation

8.2 Feedback and Data Collection

During beta, we collect detailed usage data including:

  • Service request types and frequency
  • Quote pricing and response times
  • User behavior and feature usage
  • Platform performance metrics

This data helps us improve the platform. By participating, you consent to this data collection as described in our Privacy Policy.

8.3 No Service Level Agreement

During beta, we do not guarantee:

  • Service uptime or availability
  • Response times or support
  • Data backup or recovery
  • Continuity of service

9. Termination

9.1 By You

You may terminate your account at any time by:

  • Contacting us at founder@vinlow.com
  • Following account deletion procedures in settings

Upon termination:

  • Your access to the Service will cease
  • Your data will be deleted per our Privacy Policy
  • Outstanding obligations remain in effect

9.2 By Us

We may suspend or terminate your account immediately, without notice, for:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Abuse of the platform or other users
  • Non-payment (if fees apply in future)
  • Any reason, at our sole discretion

9.3 Effect of Termination

Upon termination by either party:

  • Your license to use the Service ends immediately
  • You must cease all use of the Service
  • Provisions that should survive (indemnification, liability limits, etc.) remain in effect
  • Pending transactions between users should be completed directly

10. Dispute Resolution

10.1 Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles.

10.2 Jurisdiction

Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Virginia. You consent to the personal jurisdiction of these courts.

10.3 Informal Resolution

Before filing any legal claim, you agree to contact us at founder@vinlow.com to seek informal resolution. We will attempt to resolve the dispute within 30 days.

10.4 Arbitration (Optional)

If informal resolution fails, disputes may be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Virginia.

Exception: Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to the Service.

10.5 Class Action Waiver

You agree that disputes will be resolved individually and you waive the right to participate in class actions, class arbitrations, or representative proceedings.


11. General Provisions

11.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vinlow regarding the Service.

11.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

11.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

11.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms to any successor or affiliate without restriction.

11.5 Force Majeure

We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

11.6 Notices

Notices to you may be provided via email to your registered address or through the Service. Notices to us should be sent to founder@vinlow.com.

11.7 Language

These Terms are provided in English. Any translations are for convenience only, and the English version controls in case of conflicts.


12. Changes to Terms

We may modify these Terms at any time by:

  • Updating this page with the new terms
  • Updating the "Last Updated" date
  • Notifying you via email or platform notice
  • Requiring acceptance for material changes

Your continued use after changes are posted constitutes acceptance of the modified Terms.

If you do not agree to the changes, you must stop using the Service and may terminate your account.


15. SMS Notifications and Consent

15.1 SMS Service

Vinlow offers optional SMS notifications for:

  • New service request alerts (for shops)
  • Quote and response notifications (for dealerships)
  • Job status updates
  • Important account notifications

SMS notifications are provided through Twilio, a third-party service provider.

15.2 Consent to Receive SMS

By providing your mobile phone number and enabling SMS notifications, you expressly consent to receive text messages from Vinlow at that number. You represent and warrant that:

  • The phone number you provide is your own or you are authorized to provide it
  • You understand message and data rates may apply
  • Message frequency varies based on your account activity

15.3 Opt-Out Rights

You may opt out of SMS notifications at any time by:

  • Replying STOP to any SMS from Vinlow
  • Disabling SMS notifications in your account settings
  • Contacting us at founder@vinlow.com

Opting out will stop SMS notifications but you may still receive transactional emails necessary for service delivery.

15.4 SMS Terms and Limitations

Message Frequency: Varies based on activity (typically 1-5 messages per active service request)

Supported Carriers: All major U.S. carriers. We are not responsible for:

  • Delayed or undelivered messages due to carrier issues
  • SMS delivery failures outside our control
  • Carrier fees or charges

Help: Reply HELP to any message or contact founder@vinlow.com

Privacy: See our Privacy Policy for how we handle your phone number and SMS data.

No Liability: We are not liable for any issues arising from SMS delivery, including but not limited to: delayed messages, undelivered messages, carrier fees, or any damages resulting from reliance on SMS notifications.

You agree to check the platform directly for critical updates and not rely solely on SMS notifications for time-sensitive information.

17. Disclaimer

These Terms of Service are provided as a template and should be reviewed by a qualified attorney before use in production. Vinlow is not responsible for any legal issues arising from the use of this template.

BY CLICKING "I AGREE" OR BY ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.
